Terms of Service

By accessing or using datareigns.ai's services, website, or any associated applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and datareigns.ai. We may modify these Terms at any time, and such modifications will be effective upon posting. Your continued use of the Services constitutes acceptance of any modified Terms.

datareigns.ai provides enterprise AI solutions, including but not limited to: - AI & ML Development Services - Data Labeling and Annotation - MLOps Platform and Infrastructure - LLM Fine-tuning and Training - RAG System Implementation - AI Consulting and Strategy The specific services provided to you will be defined in a separate Service Agreement or Statement of Work ("SOW") that incorporates these Terms by reference.

To access certain features of our Services, you may be required to create an account. You agree to: - Provide accurate, current, and complete information - Maintain and promptly update your account information - Maintain the security and confidentiality of your credentials - Accept responsibility for all activities under your account - Notify us immediately of any unauthorized access We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

**Our Intellectual Property:** All content, features, and functionality of the Services, including software, text, graphics, logos, and trademarks, are owned by datareigns.ai and protected by intellectual property laws. **Your Content:** You retain ownership of any data, content, or materials you provide to us ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide license to use, process, and store it solely to provide the Services. **Deliverables:** Unless otherwise specified in your SOW, upon full payment, you will own the deliverables created specifically for you. We retain ownership of our pre-existing tools, methodologies, and frameworks.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement: - Confidential information includes business plans, technical data, and customer information - Information will only be used for purposes of the engagement - Reasonable security measures will be implemented to protect confidential data - Confidentiality obligations survive termination for 3 years Exclusions: Information that is publicly available, independently developed, or lawfully obtained from third parties.

We process personal data in accordance with our Privacy Policy and applicable data protection laws: - We act as a Data Processor when processing your customer data - You remain the Data Controller responsible for lawful collection - We implement appropriate technical and organizational measures - Data Processing Agreements are available upon request For AI training and model development, we ensure your data is handled securely and used only as authorized in your SOW.

**Fees:** Service fees are specified in your SOW or as displayed on our website. All fees are in US dollars unless otherwise stated. **Payment:** - Invoices are due within 30 days of receipt - Late payments incur interest at 1.5% per month - We may suspend Services for overdue accounts **Refunds:** Refund policies are specified in your SOW. Generally, fees for completed work are non-refundable. **Taxes:** Fees are exclusive of taxes. You are responsible for all applicable taxes except our income taxes.

For platform services, we commit to: - **Uptime:** 99.9% availability (excluding scheduled maintenance) - **Response Time:** Critical issues within 1 hour, standard issues within 24 hours - **Maintenance:** Scheduled maintenance with 48-hour notice Service credits may be available for SLA breaches as specified in your SOW. Force majeure events are excluded from SLA calculations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: **Exclusions:** We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. **Cap:** Our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. **Exceptions:** These limitations do not apply to breaches of confidentiality, intellectual property infringement, or gross negligence.

You agree to indemnify and hold harmless datareigns.ai and its officers, directors, employees, and agents from any claims, losses, or damages arising from: - Your use of the Services - Your violation of these Terms - Your violation of any third-party rights - Your Content or data provided to us We will provide prompt notice of any claim and reasonable assistance in defense.

**By You:** You may terminate your account at any time by providing written notice. Fees for the current billing period are non-refundable. **By Us:** We may suspend or terminate your access if you: - Breach these Terms - Fail to pay fees when due - Engage in illegal or harmful activities **Effect of Termination:** Upon termination, your right to use the Services ceases. We will provide your data in a standard format upon request within 30 days.

**Governing Law:** These Terms are governed by the laws of India, without regard to conflict of law principles. **Arbitration:** Any disputes shall be resolved through binding arbitration in Pune, India. The arbitrator's decision is final and binding. **Class Action Waiver:** You waive any right to participate in class action lawsuits or class-wide arbitration. **Exception:** Either party may seek injunctive relief in court for intellectual property violations.

**Entire Agreement:** These Terms, together with any SOW, constitute the entire agreement between the parties. **Severability:** If any provision is found unenforceable, the remaining provisions continue in effect. **Waiver:** Failure to enforce any right does not constitute a waiver of that right. **Assignment:** You may not assign these Terms without our consent. We may assign our rights freely. **Notices:** Notices must be sent to the addresses specified in your SOW or account settings.
